Prebit provides technology infrastructure only.

Merchants using Prebit sell products and services directly to their own customers. Prebit is not the seller, reseller, merchant of record, importer, exporter, distributor, fulfillment provider, or payment processor for merchant transactions unless expressly stated otherwise.

By accessing or using Prebit, you confirm that: - You have read these Terms; - You understand them; - You agree to comply with them; and - You are legally capable of entering into a binding agreement.

If you use Prebit on behalf of a business or other legal entity, you represent that you have authority to bind that organization to these Terms.

To use Prebit, you must: - Be at least 18 years old or the age of majority in your jurisdiction; - Provide accurate registration information; - Maintain a valid account; - Comply with applicable laws and regulations.

You may not use Prebit if your access has previously been suspended or terminated by us. We may refuse registration or restrict access at our discretion where permitted by applicable law.

You are responsible for maintaining the confidentiality of your account credentials.

You agree to: - Provide accurate information; - Keep your account information updated; - Protect your password and authentication methods; - Immediately notify us of unauthorized access.

You are responsible for all activity occurring under your account unless caused by our negligence or security failure. We may require identity verification or additional information where reasonably necessary for security, fraud prevention, or legal compliance.

Prebit provides software and infrastructure that enables merchants to operate ecommerce businesses.

Depending on your subscription, the Platform may include: - Online storefront creation; - Order management; - Inventory tracking; - Customer management; - Checkout functionality; - Analytics and reporting; - AI-powered features; - Developer APIs, SDKs, and CLI tools; - Boron Framework & Krypton Framework; - .bit Theme Engine; - Integrations with third-party services.

We continuously improve the Platform and may modify, enhance, replace, or discontinue features without prior notice where reasonably necessary for maintenance, security, legal compliance, or product improvement. Some features may only be available under specific subscription plans.

Merchants remain fully responsible for operating their businesses.

This includes responsibility for: - Products offered for sale; - Pricing; - Taxes (GST compliance, statutory invoicing); - Shipping and fulfillment; - Refunds and returns policy; - Warranties; - Customer support; - Legal compliance; - Product safety; - Consumer protection obligations.

Merchants are responsible for ensuring that all information published through their stores is accurate and lawful. Prebit does not verify, endorse, inspect, or guarantee products or services sold through merchant stores. Merchants are solely responsible for resolving disputes with their customers.

You may not use Prebit for unlawful, fraudulent, harmful, or abusive activities.

Examples include, but are not limited to: - Illegal drugs or controlled substances; - Counterfeit products or stolen property; - Illegal weapons or regulated weapons where prohibited by law; - Phishing, identity theft, or financial fraud; - Deceptive marketing practices; - Money laundering or terrorist financing; - Malware, ransomware, spyware, or malicious software; - Copyright or trademark infringement; - Illegal gambling; - Child exploitation or illegal adult content; - Promotion of violence where prohibited by law; - Spam or unsolicited communications; - Attempts to compromise Platform security; - Interference with other users or merchants.

You must also comply with all applicable export controls, sanctions, consumer protection laws, tax laws, and ecommerce regulations.

If we reasonably believe your account is involved in prohibited activities, we may immediately: - Suspend your account; - Disable your store; - Remove content; - Restrict Platform access; - Terminate your account; - Cooperate with law enforcement or regulatory authorities where legally required.

Certain Platform features require a paid subscription.

Subscription fees are charged according to the plan selected by you. By subscribing, you authorize Prebit or its payment providers to collect applicable subscription fees.

Unless otherwise stated: - Subscription fees are billed in advance; - Fees are generally non-refundable except where required by law; - Failure to pay may result in suspension or termination of services; - Taxes applicable to your subscription may be charged where required.

Merchants remain solely responsible for determining, collecting, reporting, and paying taxes (including GST in India) arising from their own business activities. Prebit is not responsible for calculating merchant tax obligations unless a specific feature expressly states otherwise.

Prebit and its licensors own all rights, title, and interest in the Platform, including software, source code, designs, interfaces, documentation, trademarks, branding, logos, frameworks, APIs, SDKs, developer tools, and related intellectual property.

These Terms do not transfer ownership of any intellectual property to you.

Subject to these Terms, Prebit grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform for your internal business purposes.

You may not: - Copy or distribute our software except as permitted; - Reverse engineer the Platform except where permitted by applicable law; - Remove proprietary notices; - Misuse Prebit trademarks; - Create misleading derivative services that suggest affiliation with Prebit.

You retain ownership of content that you upload to the Platform, including: - Product information & images; - Store branding & design assets; - Store themes; - Customer communications; - Marketing content; - Custom code.

You grant Prebit a limited license to host, store, process, display, reproduce, and transmit such content solely for operating, maintaining, securing, improving, and providing the Platform.

You represent that you have all necessary rights to upload your content, and are solely responsible for ensuring your content does not violate applicable laws or third-party rights. We may remove content that violates these Terms or applicable law.

Prebit provides developer tools including REST APIs, SDKs, CLI utilities, Boron Framework, Krypton Framework, the .bit Theme Engine, and related documentation.

These tools are provided for building storefronts, mobile apps, integrations, themes, extensions, and custom commerce flows.

You agree not to: - Abuse API rate limits; - Attempt unauthorized access; - Bypass security controls; - Interfere with Platform stability; - Distribute malicious code; - Misrepresent your applications.

We may update, modify, deprecate, or discontinue developer tools and APIs over time. Reasonable efforts will be made to provide advance notice of significant breaking changes where practical.

Certain features (such as Sidekick AI and the AI Store Generator) use artificial intelligence or machine learning.

AI-generated outputs are provided for informational and productivity purposes only. AI responses may occasionally be inaccurate, incomplete, outdated, or inappropriate for your specific circumstances.

You remain solely responsible for reviewing, verifying, and deciding whether to rely upon AI-generated content before using it for business, legal, financial, medical, or other important decisions. Prebit does not guarantee the accuracy or suitability of AI-generated results.

The Platform may integrate with third-party services, including payment providers (Shiprocket, Razorpay, Cashfree, Stripe), shipping carriers (Delhivery, BlueDart), analytics platforms, cloud providers, marketplaces, or external communication tools.

Your use of third-party services is governed by the terms and privacy policies of those providers.

Prebit is not responsible for: - Third-party products or services; - External websites; - Payment gateway failures; - Shipping carrier delays; - Service interruptions or pricing changes of third parties.

Availability of integrations does not constitute endorsement.

We may suspend or terminate access to the Platform if: - You violate these Terms; - Required subscription fees remain unpaid; - Your activities present security, fraud, legal, or operational risks; - Required by law or court order; - Necessary to protect the Platform or other users.

You may stop using the Platform at any time. Termination does not affect rights or obligations that accrued before termination. Where practicable, merchants should export their store data before account closure.

The Platform is provided on an "as is" and "as available" basis to the maximum extent permitted by law.

Prebit does not guarantee that: - The Platform will always be uninterrupted; - Services will always be error-free; - Every defect will be corrected; - The Platform will meet every specific business requirement.

To the extent permitted by applicable law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by applicable law, Prebit shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, goodwill, business opportunities, or data.

Our total aggregate liability arising out of or relating to these Terms or the Platform shall not exceed the total subscription fees paid by you to Prebit during the twelve (12) months immediately preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Prebit, its affiliates, directors, employees, contractors, and licensors from claims, liabilities, damages, losses, costs, and expenses arising from: - Your use of the Platform; - Your products or services sold; - Your content; - Your breach of these Terms; - Your violation of applicable law or third-party rights.

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the competent courts in India.

We may update these Terms from time to time to reflect changes in our Platform, legal requirements, business operations, or security practices.

Updated Terms become effective upon publication unless a later effective date is stated. Your continued use of the Platform after updated Terms become effective constitutes acceptance of those changes.
